Mark T. Carlesimo has been engaged in the private practice of law for the last three years representing various clients in the transportation, health care, travel, car rental, and waste management industries.  Mr. Carlesimo has more than thirty-six years of diversified general corporate, labor and employment, and transportation legal experience.   From August 2006 until December of 2012, Mr. Carlesimo served as Executive Vice President, General Counsel, and Secretary of publicly traded Velocity Express Corporation. Mr. Carlesimo managed the entire legal department function, including mergers and acquisitions, regulatory compliance including state and federal DOT and SEC compliance in over forty states across the country, corporate governance, corporate finance, litigation management throughout the United States, labor and employment matters, real estate, software licensing, and franchising. Mr. Carlesimo supervised all aspects of the Human Resources function for the company, including setting and implementing employee benefit policies, preparing employment manuals, managing all employment or labor related claims and suits, drafting and implementing incentive compensation plans, executive employment and separation agreements, as well as non-competition and confidentiality agreements.  From September 1997 until its merger with Velocity in August, 2006, Mr. Carlesimo served as Senior Vice President, General Counsel and Secretary of CD&L, Inc., a $250 million dollar publicly traded package delivery company where he performed similar functions.  Prior to CD&L, Mr. Carlesimo served for fifteen years as Vice President and Assistant General Counsel of Cunard Line Limited, a wholly owned subsidiary of London based conglomerate, Trafalgar House, PLC.  During his tenure, Cunard grew from £100 million to £ 550 million in revenue, owning and operating passenger cruise ships, hotels, and resorts on a world-wide basis.  Earlier in his career, Mr. Carlesimo served as Staff Counsel to the Atlantic Container Division of Seatrain Lines, Inc., a $1.5 billion NYSE conglomerate with operations that included ocean container shipping, domestic oil refineries and U.S. flag shipbuilding.  Mr. Carlesimo received a B.A. in Economics from Fordham University in 1975 and received his J.D. from Fordham University School of Law in 1979.  Mr. Carlesimo is a member of Bar of the States of New York and New Jersey.
